TERMS & CONDITIONS Housing Search, Career Accelerator & Relocation Support Services Last updated: 01/04/2026 Company: AEI Services (trading commercially as ClearPath) KvK Number: 99443147 VAT / BTW Number: NL005388180B51 Website: clearpathnl.com INTRODUCTION These Terms & Conditions ("Terms") govern the use of Housing Search Services, Application Engine, Fast Track Program, Career Accelerator Program, and any future relocation support services provided by ClearPath ("Service Provider", "we", "us", "our"). By purchasing, registering for, or using our services, you ("Client") agree to these Terms. SECTION 1 — SCOPE OF SERVICES & PRODUCT DESCRIPTION ClearPath provides distinct tiers of human-led housing placement, career advancement, and relocation support. The Client is bound by the terms of the specific package selected and paid for at checkout. A. FAST TRACK PROGRAM (Housing)This foundational service consists of a dedicated human partner (not a bot or AI) focused on executing your housing placement as quickly as possible. Services include: - Personalized Housing Search: Access to specialized membership sites, real estate agents, and landlords. - Daily Listing Monitoring: Constant oversight of rental listings and new opportunities to ensure fast discovery. - Professional Tenant Profiling: Hands-on assistance creating a strong tenant profile and persuasive cover letter. - Documentation Guidance: Step-by-step assistance preparing required rental dossiers and supporting documents. - Direct Support: Personalized answers to housing-related questions throughout your active service period. B. APPLICATION ENGINE PACKAGE (Housing) This premium service includes all services provided under the Fast Track Program, plus: - Fast Application Support: Rapid processing to help submit applications ahead of competing applicants. - Housing Viewing Scheduling: Active management, coordination, and booking of physical or virtual viewings with landlords and agents. - Contract Negotiation Support: Review and negotiation support of rental contract terms to help protect the Client's interests. C. CAREER ACCELERATOR PROGRAMThe goal of this program is to build a complete market-entry strategy for the Client's career in the Netherlands. Services include: - Market Positioning: Identifying how you should be positioned in the Dutch biotech (or relevant) market and determining which roles and companies are the strongest fit. - Profile Rebuilding: Rebuilding your CV and LinkedIn to align with Dutch hiring expectations. - Targeted Strategy: Creating a targeted list of companies and recruiters, and providing outreach tools and an action plan. - Expert Guidance: Identifying which companies to prioritize, which recruiters specialize in your area, which hiring managers to connect with, how to position your DAFT work authorization, how to access opportunities beyond public job boards, and what to focus on during your first 90 days in the Dutch market. SECTION 2 — INDEPENDENT SEARCH MANDATE & NO DUAL AGENCY In accordance with Article 7:417 paragraph 4 of the Dutch Civil Code (Burgerlijk Wetboek), ClearPathNL acts exclusively as an independent search assistant and career strategist for the Client. We do not represent landlords, employers, or recruiters. We do not list or market properties, hold housing stock, or guarantee job placement. We do not accept commissions, agency split fees, success fees, or kickbacks from landlords, housing agencies, employers, recruiters, or any third party. The Client acknowledges that compensation paid to ClearPathNL is strictly for its time, administrative efforts, career coaching, and search assistance. SECTION 3 — IN-PERSON PROPERTY VIEWINGS, CAREER MEETINGS & LIABILITY LIMITATIONS Scheduling housing viewings or professional introductions is included under the terms of specific packages. In-person attendance by a ClearPath representative at property viewings, interviews, or networking events is not included in baseline packages and requires an additional fee per event, agreed upon in writing. This extra fee compensates ClearPath solely for its physical time and attendance and does not guarantee property selection by the landlord or a job offer from an employer. ClearPath's physical attendance does not constitute a structural, technical, or certified building inspection, nor does it constitute legal or HR representation. We are not liable for any hidden physical defects in properties, nor for any employment outcomes, workplace conditions, or rescinded job offers. SECTION 4 — NON-REFUNDABLE SERVICES ALL PURCHASES ARE FINAL. Once payment has been received and services have commenced, no refunds, partial refunds, credits, chargebacks, or cancellations will be granted under any circumstances, including but not limited to situations where: - The Client secures housing or employment independently - The Client chooses to discontinue the service - The Client fails to respond to communications - The Client is dissatisfied with available housing options or career opportunities - The Client is unable to secure housing or employment during the service period The Client acknowledges that ClearPath allocates time, resources, research, administrative efforts, sourcing access, career strategy development, and search activities immediately upon commencement of services. Accordingly, all fees paid are non-refundable. SECTION 5 — TERM, SUBSCRIPTION & RENEWAL TERMS - Fixed Service Window: Services begin on the Start Date and conclude on the Finish Date specified at checkout. - No Automatic Renewal: Service subscriptions do not automatically renew. - Re-Enrollment: Clients may re-enroll monthly on an as-needed basis. - Cancellation: Active monthly support subscriptions may be canceled with prior written notice. - No Success Fees or Commissions: ClearPath waives all rights to claim any future success fees or commissions if housing is secured or employment is obtained. - Suspension: Failure to pay subscription fees or complete re-enrollment may result in immediate suspension of services. SECTION 6 — ANTI-CHARGEBACK & PAYMENT POLICY The Client acknowledges that service packages require immediate allocation of human labor, sourcing access, research, custom profile creation (tenant or professional), and strategic planning. Accordingly, all fees paid for active or completed service periods are strictly non-refundable. The Client agrees not to initiate fraudulent chargeback disputes concerning services already rendered. SECTION 7 — THIRD-PARTY SERVICES ClearPath may refer Clients to third-party providers, including landlords, housing agencies, immigration specialists, tax advisors, recruiters, employers, movers, insurers, and other service providers. ClearPath is not responsible for: - Conduct, actions, or omissions of third parties - Delays, losses, damages, or disputes caused by third parties - Advice, employment decisions, or services delivered by external providers SECTION 8 — INFORMATIONAL NATURE OF SERVICES Information provided by ClearPath is for general operational, career, and informational purposes only and does not constitute: - Legal advice - Immigration advice - Financial advice - Tax advice - Real estate brokerage services - Certified recruitment or HR representation Clients should seek independent licensed professional advice when appropriate. SECTION 9 — CLIENT RESPONSIBILITIES The Client agrees to: - Provide accurate, complete, and truthful information - Supply requested documents (such as IDs, financial proof, CVs) promptly - Independently verify critical decisions before signing agreements, accepting job offers, or transferring funds - Remain solely responsible for final decisions relating to housing, employment, career trajectory, immigration, and finances SECTION 10 — NO MONEY HANDLING & SCAM PREVENTION The Client is solely responsible for verifying the legitimacy of any landlord, rental agency, employer, or recruiter prior to transferring any funds or signing contracts. ClearPath will never request, hold, handle, or transfer rental deposits, first-month rent payments, or recruitment fees on behalf of the Client. The Client assumes all financial and legal risks related to monetary transfers to third parties. SECTION 11 — NO GUARANTEES The Client understands and agrees that ClearPath cannot guarantee: - Approval of housing applications - Apartment availability - Visa or immigration approvals - Employment offers, job placement, or interview invitations - Specific relocation or career transition timelines - Outcomes controlled by third parties All services are provided strictly on a best-effort operational and strategic support basis. SECTION 12 — COMMUNICATION & SUPPORT BOUNDARIES WhatsApp and email support are intended solely for operational relocation and career strategy assistance. WhatsApp and email support channels are active during standard Dutch business hours (09:00 to 17:00 CET, Monday through Friday, excluding public holidays). ClearPath does not provide: - Emergency services - 24/7 guaranteed availability - Legal representation Response times may vary based on workload, weekends, and Dutch public holidays. Unprofessional communication, harassment, or spamming will result in an immediate warning, and continued abuse may result in termination of services without a refund. SECTION 13 — DATA PROTECTION & GDPR Client information will be processed in accordance with applicable GDPR and Dutch privacy regulations. Data handled may include: - Identification documents and passports - Contact details - Proof of income, CVs, and professional portfolios - Relocation and career-related records Reasonable technical measures will be implemented to protect Client data; however, absolute cybersecurity protection cannot be guaranteed. All sensitive financial, identification, or professional documents (such as payslips, employment statements, and passport copies) will be permanently deleted from ClearPath's active business files within thirty (30) days after the termination or completion of services. SECTION 14 — CLIENT INDEMNIFICATION FOR ILLEGAL ACTIVITY The Client agrees to defend, indemnify, and hold harmless ClearPath and its employees from all claims, liabilities, damages, and expenses (including legal fees) arising from the submission of false, forged, altered, or misleading documents to ClearPath, landlords, municipalities, government agencies, employers, recruiters, or other third parties. SECTION 15 — FORCE MAJEURE ClearPath shall not be liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to: - Severe housing or job market disruptions - Regulatory or municipal restrictions - Third-party platform outages - Internet infrastructure failures - Natural disasters - Labor strikes SECTION 16 — LIMITATION OF LIABILITY To the maximum extent permitted by law, ClearPath shall not be liable for: - Indirect, incidental, or consequential damages - Loss of income, profit, or professional opportunity - Housing losses, rental deposits, or failed applications - Employment losses, rescinded offers, or failed interviews - Immigration delays, rejections, or travel issues - Decisions made by landlords, employers, recruiters, municipalities, or government authorities Total liability shall never exceed the total amount paid by the Client for the specific service giving rise to the claim. SECTION 17 — GOVERNING LAW This Agreement shall be governed exclusively by the laws of the Netherlands. Any legal proceedings arising from this Agreement shall be submitted exclusively to the competent courts of the Netherlands.
